Terms of Service

Please read these terms carefully before using our event management and registration services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Validity Event & Marketing ("Company," "we," "us," or "our") regarding your use of our event management, registration, and related services in Ethiopia.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia and are subject to Ethiopian jurisdiction.

2. Description of Services

Validity Event & Marketing provides comprehensive event management and registration services, including but not limited to:

  • Event registration and ticketing systems
  • Guest check-in and badge printing services
  • Attendance tracking and reporting
  • Event marketing and promotion
  • On-site event support and management
  • Digital event platforms and networking tools
  • Post-event analytics and reporting

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts under Ethiopian law to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Event Registration and Payments

4.1 Registration Process

When registering for events through our platform:

  • You must provide accurate registration information
  • Registration is subject to event capacity and availability
  • We reserve the right to refuse or cancel registrations at our discretion
  • Event organizers may set additional terms and conditions

4.2 Payment Terms

Payment terms are as follows:

  • All fees are stated in Ethiopian Birr (ETB) unless otherwise specified
  • Payment must be made in full at the time of registration unless alternative arrangements are agreed
  • We accept payment through secure third-party processors
  • All sales are final unless otherwise stated in the refund policy
  • Prices are subject to change without notice

4.3 Refunds and Cancellations

Refund and cancellation policies vary by event and are set by event organizers. Generally:

  • Refund requests must be submitted within the timeframe specified by the event organizer
  • Processing fees may apply to refunds
  • Refunds are processed to the original payment method within 14-30 business days
  • We are not responsible for event cancellations by organizers

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violate any applicable Ethiopian laws or regulations
  • Infringe upon intellectual property rights
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Use our services for fraudulent or illegal purposes
  • Impersonate others or provide false information
  • Harass, abuse, or harm other users or event participants
  • Collect or harvest user information without consent
  • Use automated systems to access our services without permission

Violation of these terms may result in immediate termination of your account and legal action.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and designs, are owned by Validity Event & Marketing or our licensors and are protected by Ethiopian copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of content you submit through our services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Use, reproduce, and display your content in connection with our services
  • Modify and adapt your content as necessary for service delivery
  • Share your content with event organizers and participants as appropriate

You represent and warrant that you have all necessary rights to grant this license.

7. Event Organizer Terms

If you are an event organizer using our services:

  • You are responsible for the accuracy of event information
  • You must comply with all applicable laws and regulations
  • You are responsible for obtaining necessary permits and licenses
  • You must provide accurate pricing and refund policies
  • You are responsible for event content and participant safety
  • You grant us permission to use event information for service delivery

We are not responsible for the content, quality, or outcomes of events organized through our platform.

8. Limitation of Liability

To the maximum extent permitted by Ethiopian law:

  • Our services are provided "as is" and "as available" without warranties of any kind
  • We do not guarantee uninterrupted, error-free, or secure service
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid for our services in the 12 months preceding the claim
  • We are not responsible for events organized by third parties
  • We are not liable for loss of data, profits, or business opportunities

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Validity Event & Marketing, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit through our services
  • Your conduct at events organized through our platform

10. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Request by law enforcement or government authorities
  • Extended periods of inactivity

Upon termination, your right to use our services will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia.

11.3 Alternative Dispute Resolution

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, parties may agree to mediation through a mutually acceptable mediator in Addis Ababa.

12. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Strikes or labor disputes
  • Third-party service provider failures

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting updated Terms on our website
  • Sending email notifications to registered users
  • Displaying a notice on our platform

Your continued use of our services after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Validity Event & Marketing regarding your use of our services and supersede all prior agreements and understandings.
